These Terms of Service (the "Terms") govern access to and use of the UppSales platform (the "Service"), provided by Weblink Srl, with registered office at Via Manin 30, 21100 Varese (VA), Italy — VAT IT02285720120 (the "Provider" or "Weblink").
By using the Service, the user (the "Customer") fully accepts these Terms. In case of disagreement, the Customer must refrain from using the Service.
1. Description of the service
UppSales is a SaaS (Software as a Service) application for order taking, intended for sales reps and sales networks. The Service includes:
- access to the web platform and the mobile apps (iOS, Android) and desktop apps (Windows, macOS);
- management of product catalogs, price lists and orders;
- data import from Excel files and PDF catalogs;
- data sync across devices;
- technical support as described on the website.
The Service is available in the version and with the features described on uppsales.io at the time of subscription. Weblink reserves the right to update, change or extend the features over time, notifying active users.
2. Registration and account
To access the Service, registration is required by providing truthful and complete information. The Customer is responsible for keeping their access credentials safe and for all activity carried out through their account.
In case of unauthorized access or suspected breach of account security, the Customer must promptly notify Weblink at info@weblink.it.
Weblink reserves the right to suspend or disable accounts in case of breach of these Terms, fraudulent activity or improper use of the Service.
3. Free trial
Weblink offers a free trial period of 15 days from the date of registration. During the trial the Customer can use the Service with no purchase obligation and without entering payment details.
After the trial period, to continue using the Service the Customer must subscribe to a paid plan. Data entered during the trial remains available for 30 days after expiry; after that period it may be deleted.
4. Plans and payments
Subscription plans, included features and pricing are described on the Pricing page. Prices are in Euros and, unless otherwise indicated, exclusive of VAT.
Payment is made in advance according to the billing frequency of the chosen plan (monthly or annual). In case of non-payment, the Service may be suspended after notifying the Customer.
Weblink reserves the right to change plan prices with at least 30 days' notice. Price changes do not apply to periods already paid.
5. Rights and licence to use
Weblink grants the Customer a limited, non-exclusive, non-transferable licence to use the Service exclusively for their own internal commercial activities, in compliance with these Terms.
The following is prohibited:
- assigning, sublicensing or transferring access to the Service to third parties;
- copying, modifying, decompiling or attempting to extract the source code of the software;
- using the Service for unlawful activities or in breach of third-party rights;
- reselling or commercialising access to the Service without Weblink's written authorisation.
6. Customer data and content
The Customer retains full ownership of the data entered into the Service (products, customers, orders, price lists). Weblink claims no ownership rights over such content.
The Customer authorizes Weblink to process their data to the extent necessary to provide the Service, in compliance with applicable data protection law (GDPR — EU Regulation 2016/679) and the Privacy Policy.
The Customer is responsible for the content of the data entered and warrants that they hold the rights necessary to use it within the Service.
The Customer can export their data in Excel format at any time from the platform. In case of service termination, Weblink guarantees data availability for a minimum period of 30 days.
7. Service availability and maintenance
Weblink commits to maximum Service availability, targeting a monthly uptime of no less than 99%. However, an uninterrupted service cannot be guaranteed.
Weblink may carry out scheduled maintenance, providing reasonable advance notice. In case of unplanned outages, Weblink commits to restoring the Service as quickly as possible.
Weblink is not liable for service interruptions caused by force majeure, the Customer's internet connection failures, malfunctions of third-party services or cyber attacks.
8. Limitation of liability
The Service is provided "as is". Weblink makes no implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
To the extent permitted by applicable law, Weblink shall not be liable for indirect, incidental, consequential damages or loss of data or profits arising from use of or inability to use the Service, even if Weblink had been informed of the possibility of such damages.
Weblink's total liability to the Customer, for any cause, shall in no case exceed the amount paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim.
9. Termination and withdrawal
The Customer can cancel their subscription at any time through the account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no refunds are provided for periods already paid, save for different written agreements.
Weblink may terminate the contract with immediate effect in case of serious breach of these Terms by the Customer, by giving notice via email.
10. Changes to the terms
Weblink reserves the right to update these Terms at any time. Changes will be communicated via email to active users with at least 15 days' notice. By continuing to use the Service after the effective date of the changes, the Customer accepts the new Terms.
11. Governing law and jurisdiction
These Terms are governed by Italian law. For any dispute arising from the interpretation, validity or execution of these Terms, the parties elect the court of Varese as the exclusive jurisdiction, except where otherwise provided by mandatory consumer-protection law.
